Michele represents clients in the long term care and senior living industries on transactional and regulatory matters. Michele counsels senior living investors, real estate investment trusts, real property owners, and operators on various transactional health care matters, including development projects, acquisitions and dispositions, financings, transaction structure, and joint venture, lease, and management arrangements.
Michele also advises long term care and senior living owners and operators, such as nursing homes, assisted living facilities, and continuing care retirement communities, on regulatory and operational issues, including formation and licensure, transfer of operations, and regulatory compliance, and on financing matters related to compliance with loan covenants, defaults, waivers, and forbearance agreements.
Additionally, Michele works with other health care investors and providers, including hospitals, home health agencies, hospices, laboratories, and physician practices, in their transactional and real estate matters, including formation and licensure, stock and asset purchase transactions, restructuring, and mergers and acquisitions of health care facilities.
Michele also advises hospitals, home health agencies, hospices, laboratories, and other health care providers regarding regulatory and corporate compliance, including state licensure, Medicare and Medicaid, federal and state fraud and abuse issues, physician self-referral, HIPAA, health privacy and security, and corporate practice of medicine.

Life Beyond the Law
Michele is an avid runner and enjoys running in Prospect Park. Michele also enjoys traveling, trying new restaurants and bakeries, and spending time with her husband and two daughters.
